Corporate/ company law is the area of law which looks at companies and how they operate, how they are financed and how they are regulated.
The City Law School BVC Option Subject of Company Law concentrates on a number of areas commonly encountered by junior practitioners doing chancery and insolvency work. It covers compulsory winding-up and related Insolvency Act procedures; directors’ fiduciary duties; and the problems of unfair prejudice in small private companies. The emphasis is on the practical application of the law, and students can develop their skills in advocacy, opinion writing and drafting.
The LPC Elective Area of Corporate Finance introduces students to the legal, practical and procedural issues relating to equity financing and the regulation of listed public companies. Debt financing will also be referred to briefly. Transactions explored include a flotation (an initial public offering) and a rights issue. Students also consider public company directors’ responsibilities and associated regulation.
The LPC Elective Area of Mergers, Acquisitions and Takeovers focuses on acquisition transactions, which can be by way of sale and purchase, merger or take-over. The course not only looks at the practical stages of an acquisition (due diligence; the sale and purchase agreement; warranties and indemnities) but also will give an overview of the competition, tax and employment issues to be taken into consideration.
